Terms of Service
Last updated: November 3, 2026
These Terms of Service (“Terms”) are a binding agreement between you and Algorabia LLC, a Wyoming limited liability company (Wyoming Secretary of State ID 2025-001770306) with its address at 5830 E 2nd St, Ste 7000 #28603, Casper, WY 82609, USA (“Algorabia”, “we”, “us”, “our”).
“You” means the person or business that uses this website or buys a package. If you buy for a company, you confirm you’re allowed to bind that company, and “you” means the company.
Please read Sections 12 to 15 carefully. They limit our liability and, for US customers, require individual arbitration and waive class actions.
By using www.zakadev.com (the “Site”) or by ticking the box at checkout and paying, you agree to these Terms, our Refund Policy and our Privacy Policy. If you don’t agree, don’t buy or use the Site.
1. Who these terms are for
- Our packages are built for businesses, founders and professionals, not for personal or household use.
- If you’re a consumer in the EU, UK or another place whose laws give you rights that a contract can’t remove, those rights still apply. Nothing in these Terms takes them away. Phrases like “to the extent permitted by law” mean exactly that.
- You must be at least 18 years old to buy.
2. What you’re buying
- Each package is a fixed-price, fixed-scope service. The scope is what’s described on the package page at the moment you pay (tier, deliverables, delivery days, number of revisions and any add-ons you picked), as clarified by the intake form you submit (together, the “Scope”).
- Anything not in the Scope is out of scope. That includes new features, extra workflows, integrations or pages, changed requirements, and work on systems you didn’t describe in the intake. We can quote out-of-scope work as an add-on or a new order. We don’t have to do it otherwise.
- If your intake answers show the project is much bigger than the tier you bought, we’ll tell you within 3 business days of receiving the intake. You can then upgrade, cut the Scope down to fit the tier, or cancel for a refund under the Refund Policy.
- Package pages, examples, case studies, timelines and FAQs are descriptions, not promises of a specific business result (more leads, revenue, savings, rankings, accuracy rates and so on).
3. Price, payment and taxes
- Prices are in US dollars and paid in full, up front, through Stripe Checkout. We don’t see or store your card details.
- Work starts only after payment clears.
- Prices don’t include taxes (VAT, GST, sales tax, withholding and so on) unless the checkout says otherwise. You pay any taxes that apply to your purchase, other than taxes on our income. If you must withhold tax by law, you’ll increase the payment so we receive the full price.
- Promotion codes apply only as stated, can’t be combined unless stated, and have no cash value.
- We can change prices on the Site at any time. Changes don’t affect orders already paid.
4. How a project runs
- You pay. You get a confirmation email with a private intake link, and an invite to our business Slack workspace.
- You submit the intake form. This is when work starts. Delivery days are counted in business days (Monday to Friday, UTC) from the day we receive a complete intake.
- We build. Project talk happens in Slack so there’s one written record. Calls are optional and scheduled when useful.
- We deliver, with a short handover (for example a walkthrough video or notes, as listed in the tier).
- You review and request revisions within the review window (Section 7).
5. Your responsibilities
You agree to:
- Give complete, accurate answers and files in the intake form, and reply to questions within 3 business days.
- Give us the access we need (for example to your n8n, Make, OpenAI, Anthropic, Supabase, Vercel, GitHub, CRM or hosting accounts). Please use invites, collaborator roles or limited API keys where possible. Don’t paste passwords or secret keys into the intake form. We’ll tell you the safest way to share access.
- Own or have the rights to everything you give us (content, data, documents, designs, logos, code, accounts) and confirm that our use of it to deliver the work doesn’t break any law, contract or third-party right.
- Not give us health records, payment card data, government ID numbers or other sensitive data unless we’ve agreed in writing how it will be handled. Use test or sample data where you can.
- Back up your systems and data before we work on them.
- Make sure your use of the deliverables is legal in your business and countries, including privacy, data protection, consumer, marketing, email, scraping, intellectual-property and AI rules. We build what you ask for. You decide how it’s used.
- Review and test the deliverables before using them in production.
Delays caused by you. Delivery days pause whenever we’re waiting on you (answers, files, access, approvals or payment of a third-party bill). Inactivity closures follow the Refund Policy, and the two are consistent:
- Intake form never sent: the order closes automatically 60 days after payment, and we refund the amount paid minus a 10% admin fee (Refund Policy, Sections 1 and 6).
- Intake sent, then no reply for 30 days in a row after we ask for something: we can close the order after emailing you. We deliver what’s been done so far, the order counts as complete, and no refund is due, except where the law requires one.
6. Third-party services and costs
- The work usually runs on third-party services such as n8n, Make, OpenAI, Anthropic, Supabase, Vercel, Slack, GitHub, vector databases, email or SMS providers, and hosting.
- These run on your own accounts, under your own agreements with those providers. You pay all their fees (subscriptions, usage, API tokens, hosting, domains, overages), even when we set them up for you.
- We don’t control those services and aren’t responsible for their outages, price changes, rate limits, API or model changes, account suspensions, data loss, security incidents or changes to their terms. If a provider change breaks something after delivery, fixing it is new work unless you bought a support add-on that covers it.
- Estimates we give of third-party costs are guesses, not quotes.
7. Delivery, review, revisions and acceptance
- Delivery days are estimates, not guaranteed deadlines. We work to hit them, but missing one isn’t a breach of these Terms and doesn’t on its own entitle you to a refund or damages. The one exception is the Fast delivery add-on, covered in the Refund Policy.
- Review window. You have 7 calendar days after delivery to review and either accept or send a written list of the specific ways the work doesn’t match the Scope (in Slack or by email).
- Deemed acceptance. The work is accepted at the earliest of: (a) your written approval; (b) 7 calendar days after delivery without a written list of issues; or (c) your use of the work in production or for real business purposes.
- Revisions. Your tier includes the number of revision rounds shown on the package page. A revision is a change to make the work match the Scope. It is not a new feature, a changed requirement or a change of mind. One round is one consolidated list of changes. Unused revisions expire on acceptance. Extra rounds can be bought as an add-on.
- If you report a real defect (the work doesn’t do what the Scope says) during the review window, we’ll fix it within your included revisions. Fixing or re-doing the work is your main remedy for problems with a delivery.
8. Ownership and licences
- Your materials stay yours. You keep everything you give us. You give us a limited licence to use it only to deliver your order.
- Deliverables become yours on full payment. Once the order is fully paid and not disputed or reversed, we assign to you our rights in the custom code, workflows, prompts and documents we create specifically for you under that order (the “Deliverables”). Until then, you have a limited, revocable licence to review them only.
- Our pre-existing materials stay ours. We keep all rights in tools, code libraries, templates, snippets, workflow patterns, prompts, methods and know-how that we had before your order or create independently of it (the “Background Materials”). Where Background Materials are part of a Deliverable, you get a non-exclusive, perpetual, worldwide, royalty-free licence to use and change them as part of that Deliverable. You may not resell or distribute them on their own.
- Open-source and third-party components (libraries, n8n nodes, SDKs, AI models, templates) remain under their own licences. You agree to follow those licences.
- General skills. Nothing stops us from using general knowledge and experience gained on your project, or from building similar things for other clients, as long as we don’t use your Confidential Information.
- Portfolio. We may describe the work in general, anonymised terms (for example “an AI support bot for a SaaS company”) in our portfolio and marketing. We’ll only name your company, use your logo or quote you with your permission. You can tell us in writing at any time to stop using even the anonymised description.
9. AI output
- Many Deliverables use AI models (for example OpenAI, Anthropic or open-source models). AI output is probabilistic. It can be wrong, incomplete, biased, out of date or made up, even when built carefully, and it can change when a provider updates a model.
- You’re responsible for checking AI output before relying on it, for keeping human review where errors could cause harm (legal, medical, financial, HR, safety or decisions about people), and for telling your own users they’re dealing with AI where the law requires it.
- We don’t promise any accuracy rate, and we don’t promise that AI output is free of third-party rights or unique to you.
10. Confidentiality
- Each side will keep the other’s non-public business information (including your data, credentials, code and plans, and our pricing methods and Background Materials) confidential, use it only for the order, and protect it with reasonable care.
- This doesn’t cover information that is public through no fault of the receiving side, was already known to it, is received lawfully from someone else, or is developed independently. Either side may disclose information when the law or a court requires it, giving notice first where allowed.
- When the project ends, we’ll remove our access to your accounts or ask you to revoke it, and you should rotate any keys or passwords you shared. We may keep copies where the law requires, or in routine backups until they’re overwritten, still under these confidentiality terms.
11. Personal data you share with us
- Our Privacy Policy explains how we handle your own contact and billing data.
- If, while doing the work, we process personal data on your behalf (for example your customers’ data in your CRM or chatbot logs), you’re the controller and we’re your processor. We’ll only process it to deliver the order and on your documented instructions, keep it confidential, protect it with reasonable security measures, use sub-processors only as needed for the work, help you with data-subject requests where reasonable, tell you without undue delay about a breach we become aware of, and delete it when the work ends. If your law requires a signed data processing agreement, ask before you share personal data and we’ll sign a standard one.
12. Disclaimer of warranties
To the fullest extent permitted by law, the Site, the services and the Deliverables are provided “as is” and “as available”. Your only promise from us is that the Deliverables will substantially match the Scope at delivery, and your remedy for that is in Section 7. We disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and that anything will be uninterrupted, error-free, secure, or free of viruses or vulnerabilities. We don’t promise any business, financial, legal or compliance result.
Some places don’t allow certain warranties to be excluded. There, these exclusions apply only as far as the law allows.
13. Limitation of liability
To the fullest extent permitted by law:
- Cap. Our total liability for all claims arising out of or relating to an order, the Site or these Terms, whatever the legal theory (contract, tort including negligence, statute or otherwise), is limited to the amount you actually paid us for the specific order the claim relates to. If the claim isn’t about an order, the cap is US$100.
- No indirect losses. We’re not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, sales, business, goodwill or data, business interruption, the cost of substitute services, or third-party service fees or usage bills (including runaway API, AI or hosting costs), even if we were told they might happen.
- No personal liability. You agree that your claims are against Algorabia LLC only, not against its members, managers, employees or contractors personally.
- Time limit. Any claim must be brought within one (1) year after it arises, or it’s barred.
- These limits are part of the price. Without them, the packages would cost more.
What we don’t limit. Nothing in these Terms limits liability that can’t be limited by law, such as liability for fraud, for gross negligence or wilful misconduct where the law doesn’t allow it to be limited, for death or personal injury caused by negligence, or a consumer’s mandatory statutory rights.
14. Your indemnity
To the extent permitted by law, you’ll defend, indemnify and hold harmless Algorabia LLC, its members and contractors from claims, losses, fines, damages and costs (including reasonable lawyers’ fees) arising from: (a) materials, data or instructions you give us; (b) your use of the Deliverables, including AI output and how you deploy it; (c) your breach of these Terms or of any law; or (d) your agreements with third-party providers. We’ll tell you promptly about a claim and reasonably cooperate, at your cost.
15. Disputes, governing law, arbitration and class-action waiver
- Talk first. Before any formal claim, contact us at [email protected] with a short description. We’ll both try in good faith to solve it within 30 days.
- Governing law. These Terms are governed by the laws of the State of Wyoming, USA, and applicable US federal law, without regard to conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods doesn’t apply.
- Arbitration (US customers and businesses). Any dispute that isn’t solved informally will be settled by binding individual arbitration administered by the American Arbitration Association under its applicable rules, by a single arbitrator. The seat of arbitration is Casper, Natrona County, Wyoming. Hearings may be held by video or phone, or decided on documents only, so neither side has to travel. Judgment on the award may be entered in any court with jurisdiction. Either side may instead bring an individual claim in small claims court, and either side may ask a court for urgent injunctive relief to protect intellectual property or confidential information.
- Class-action waiver. To the extent permitted by law, claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative action. The arbitrator can’t combine claims of more than one person.
- Courts. Where a dispute isn’t subject to arbitration (or arbitration is found not to apply), it will be decided exclusively by the state or federal courts located in Natrona County, Wyoming, and both sides consent to their jurisdiction. Small-claims and consumer rights above still apply.
- Jury-trial waiver. If a dispute does go to court, to the extent permitted by law both sides waive a jury trial.
- Consumers in the EU, UK and elsewhere. If you’re a consumer, this section doesn’t take away the protection of the mandatory laws of your country of residence or your right to bring a claim in your local courts.
16. Termination
- You can cancel an order under the Refund Policy.
- We can cancel an order or stop work if you breach these Terms, are abusive or threatening, ask for something illegal or unethical, or if a chargeback or payment dispute is opened. If we cancel without any fault on your part, we’ll refund the unearned part of the price as described in the Refund Policy.
- We can remove you from our Slack workspace when the project ends or the order is cancelled. Download anything you need before then.
- Sections that by their nature should survive (payment, ownership and licences, AI output, confidentiality, disclaimers, liability limits, indemnity, disputes and general terms) survive termination.
17. Independent contractor
Algorabia LLC is an independent contractor. Nothing in these Terms creates employment, partnership, joint venture or agency. We choose how, when and where the work is done, use our own tools, and handle our own taxes and staff. We may use carefully chosen subcontractors and tools, and we stay responsible for their work under these Terms.
18. Force majeure
Neither side is liable for delays or failures caused by events outside its reasonable control. Examples are natural disasters, war, terrorism, civil unrest, government action, epidemics, power, internet or telecom failures, cyberattacks, and outages or changes at third-party providers (including AI, hosting and payment services). Payment obligations aren’t excused. Delivery dates move by the length of the delay.
19. Using the Site
- Don’t misuse the Site. That includes trying to break or overload it, probing the checkout or intake endpoints, scraping it in bulk, uploading malware, or using someone else’s payment details.
- Site content (text, design, code samples, images, case studies) belongs to us or our licensors. You may read and share it with a link. Don’t copy it for commercial use without permission.
- The Site may link to third-party sites. We aren’t responsible for them.
- Blog posts and guides are general information, not professional, legal or financial advice.
20. Communications and electronic agreement
- You agree that we can communicate with you electronically, by email and in Slack, and that ticking the checkbox and paying is your electronic signature. Messages in Slack and email count as “written” notice for these Terms.
- Formal legal notices to us must go to [email protected].
- If you join our Slack workspace, follow Slack’s rules and ours: be respectful, keep discussion to your project, and don’t share other clients’ information you might see. Workspace channels aren’t a 24/7 support line.
21. General
- Entire agreement. These Terms, the package page and add-ons you bought (as they were at the time of purchase), your intake answers, the Refund Policy and the Privacy Policy are the whole agreement for an order. They replace earlier discussions. If they conflict, the order of priority is: a written agreement signed by both sides, then these Terms, then the Refund Policy, then the package page. One exception: on any question about refunds, cancellations or inactivity closures, the more specific rule in the Refund Policy controls over these Terms.
- Changes to these Terms. We may update these Terms. The new version applies from its effective date to new orders and Site use. Paid orders stay under the version you accepted at checkout.
- Severability. If a court finds any part unenforceable, that part is enforced as far as allowed, and the rest stays in force.
- No waiver. Not enforcing a right right away doesn’t waive it.
- Assignment. You can’t transfer an order or these Terms without our written consent. We can transfer them as part of a merger, sale or reorganisation.
- Export and sanctions. You confirm you’re not in, or acting for someone in, a country or list subject to US sanctions, and that you won’t use the Deliverables in breach of export laws.
- Language. These Terms are written in English. If a translation conflicts, the English version wins, where the law allows.
- Headings are for convenience only.
